About the Associate General Counsel, M&A and Corporate
Strategy:We are looking for a talented attorney and leader to join
our diverse and dynamic Global Legal, Business Integrity, and
Government Affairs (GLBG) team, as the lead lawyer for M&A and
Corporate Strategy, working closely with the Chief Legal Officer,
the VP, Mergers and Acquisitions, and the Head of Corporate
Strategy, as well as with leaders and members of the GLBG, finance,
corporate and business M&A, and others.The GLBG is one global
team, that works together to create value for the Company by
driving outcomes that advance the Company's strategy and protect
our people, places, and things.

The Associate General Counsel, M&A and Strategy will serve on
the GLBG Leadership Team and contribute to the oversight and
management of the global team.This high-visibility role requires
someone who is looking for both personal and professional growth
and can partner effectively with internal stakeholders at all
levels to solve problems and use their stellar judgment.

This role will report to the Company's Chief Legal Officer, while
working closely with other members of the GLBG within our matrixed
operating model, and successfully with cross-functional business
partners.Key responsibilities of the Associate General Counsel,
M&A and Strategy include:Working closely with the VP of Mergers
and Acquisitions, drive strategic execution of global business
strategy by leading global mergers, acquisitions, joint ventures,
corporate venturing, divestitures and other complex projects,
including guiding multidisciplinary teams through negotiation, due
diligence, and post-closing integration to create long-term
shareholder value for the CompanyManage all stages of mergers,
acquisitions, joint ventures, key investments, and other strategic
business opportunities at a corporate level, coordinating with and
supporting such activity at a regional levelLead performing due
diligence, drafting and negotiating term sheets and definitive
transaction documents, manage closing transactions, and support
post-closing integrationProvide practical commercial and legal
advice to facilitate, improve, and strengthen operational
decision-making through integration of legal analysis as part of
the overall business development process and strategic planning and
projectsWork with cross-functional partners (Finance, Tax, HR,
Regulatory) and business leadership to identify issues, develop
solutions, structure transactions and close acquisitions and
investmentsSupport preparation of deal-related materials for the
Corporate M&A Steering Committee, and Board and Board
Committees, and participate in such meetings as may be
necessaryDevelop and lead a global legal center of excellence to
identify, externally benchmark, improve, and drive adoption of best
practices to build GLBG member competencies in this area; to
support execution of projects; and to build and maintain global
network of relevant external resources including external
counselWorking with GLBG colleagues, manage integration and
expansion into international markets, including identifying and
addressing country specific risks related to foreign ownership and
control, corporate governance, SOX compliance, entity management,
tax, and human resourcesWorking with the Head of Corporate
Strategy, supporting various strategic initiatives and strategic
planningManage complex and sensitive projects end-to-end working
with and through cross-functional teamsEffectively manage external
counsel and the associated budget in all matters.Assist on other
matters related to governance, SEC compliance, tax, and treasury,
as may be neededQualified candidates will have/be:JD degree and at
least one state bar admission in good standing. A minimum of 15
years of work experience in general corporate matters at a law firm
or in-house at a public, U.S. multinational, including a
demonstrable history of leading mergers and acquisitions, corporate
finance transactions, and public company securities work.Deep,
subject matter expertise in the area of international mergers and
acquisitions, and strong working knowledge of corporate finance in
both the capital and credit markets, securities laws, and corporate
governance.Experience with acquisition antitrust approval process.A
strategic thinker capable of directly influencing the development
and execution of global business strategy, as well as setting and
executing legal strategy in alignment with business objectives in
any given transaction. Strong negotiation skills and the ability to
work collaboratively and effectively both internally and externally
to build consensus and drive strategic execution of
projects.Ability to see the big picture while executing on the
details.Excellent organizational and planning skills, with the
ability to handle multiple projects simultaneously.Demonstrable
business and financial acumen and evident learning
mindset.Excellent communication skills (written and oral) and
ability to communicate effectively in multi-cultural/international
settings.Proven leadership ability within legal teams or function
and across an enterprise.
Ability to lead successfully in a matrixed organization, as well as
to delegate to and support and develop others, including legal
peers, and cross-functional business partners.Good judgment and
high integrity, with demonstrated appreciation of general business
values and ethics.
