People in the Corporate Function contribute to the running of Accenture as a high- performance business through specialization within a specific functional area, and grow into internally focused roles by deepening their skills and/or developing new skills within an internal functional area.

Legal and Commercial Services professionals deliver and coordinate legal, contract and commercial advice and counsel in support of Accenture's or our clients' business, working to manage and mitigate risk and ensure ethical behavior and compliance with laws and company policies.

Job Title: Geographic Compliance & Corporate Manager

Job Summary:

The Geographic Compliance & Corporate team is Accenture's legal advisor. We collaborate with other more specialized teams within Accenture Legal to navigate the compliance and corporate governance needs. This role focuses on Accenture's US operations. The legal advice you will offer touches on dozens of compliance areas, including regulatory, anticorruption, trade compliance, corporate real estate transactions, tax and data privacy. This role involves using good judgment, experience, business acumen and legal training to address many varied issues as they arise, including issues of first impression.

Representative Work:

Data privacy and licensing : You will help us build out how we navigate the growth of US state-level data privacy legislation. You will be a part of the team that creates the global framework around data licensing agreements and ongoing governance functions related to the use of data once it is properly licensed.

Artificial intelligence : Accenture is a global leader in the responsible use of AI, and this role will support Accenture's work to comply not only with its own ambitions on managing AI responsibly but also with US legislation on AI.

Regulatory compliance : Our North America GCC team includes subject matter experts on regulatory compliance, including the heavily regulated health care and life sciences industries. We ensure that Accenture complies with regulations when we offer services to our clients, and we also ensure that our legal entities have the appropriate licenses and certifications to provide the services Accenture offers, in the US and globally. As part of North America GCC, you will support this work.

Sourcing: You will review, draft and negotiate a variety of agreements with suppliers and business partners including more complex agreements in the following areas: software-as-a-service license agreements, professional services and staffing agreements, sponsorship deals, hardware renting & purchasing. Many of these agreements are entered into in the US for the benefit of Accenture's global operations. What you will do is assess the risk in proposed transactions and inform and educate our Accenture stakeholders about such risks, so they can make an informed decision.

Marketing and Advertising : You will counsel Accenture's marketing team to help develop, update and implement enterprise marketing legal guidelines, playbooks, policies, and processes. You will draft and negotiate deals to support marketing and sponsorship initiatives.

Enterprise transactions : You will also review, draft and negotiate agreements between our corporate functions and third parties that they engage, such as agreements with universities, independent professionals and other vendors. This can include grant agreements for the Accenture Foundation and Accenture's service agreements with non-profits.

Anti-corruption Compliance : We work very closely with Accenture's anti-corruption compliance team. Leveraging their expertise, you will assess proposed relationships with third parties to ensure that the engagement does not create risks of non-compliance with anti-corruption legislation, such as the FCPA. You will also assess proposed gifts (generally non-monetary) to third-parties to ensure that the gift meets Accenture's guidance.

Corporate Real Estate : Accenture operates from locations throughout the US and you will support our corporate real estate team and manage external counsel as we enter into, renegotiate and terminate the lease agreements, SNDAs, architecture and build-out agreements, and other related agreements for our US locations.

Corporate Entities : Accenture's complex US operations includes a significant number of legal entities. Many of these are associated with merger & acquisition activity. You will work with our paralegal and global teams and our global Post Merger Integration team to ensure these businesses maintain their corporate form and continue to be appropriately registered to do business in the US.

Key Responsibilities:

  • Strategize with Accenture businesspeople prior to negotiations.
  • Structure transactions to be most advantageous from a legal, tax and business perspective. For example, tax considerations often determine the choice of which Accenture legal entity to use for a particular transaction.
  • Counsel, advise, and educate Accenture businesspeople based on accurate interpretation of contract documents and the facts of a business opportunity.
  • Stay abreast of legal developments affecting the company and help synthesize the information to incorporate it into company's best practices.
  • Participate in developing internal guidelines, toolkits, and packaged knowledge capital on various legal and business issues.
  • Represent Accenture's interests and interface directly with opposing counsel and negotiating teams.
  • Support, promote and implement initiatives as part of Legal's executive team
  • Help ensure that corporate compliance policies (Data Privacy, Information Security, Supplier Code of Conduct, Supplier Diversity, etc.) are reflected in procurement agreements.


    Basic Qualifications:
    • J.D. from an accredited US law school or equivalent required
    • Active license to practice law in at least one US jurisdiction
    • Minimum of 3 years or more of transactional experience, preferably in IT areas in roles with increasing responsibility, such experience should be in a law firm or in a fast-paced corporate legal/transaction group in an IT-related business


      Preferred Qualifications:
      • Good understanding of intellectual property issues and other key aspects of IT-related transactions
      • Superb interpersonal skills; demonstrated success in working with businesspeople and lawyers at all levels, including client general counsels
      • Independently manage drafting transactional documents and correspondence
      • Understand basic principles of Finance, Accounting, Marketing, and Management
      • Good understanding of Intellectual Property issues as they apply to our business
      • Able to present alternatives and proposed solutions, especially when escalating an issue

          As required by Colorado law under the Equal Pay for Equal Work Act, Accenture provides a reasonable range of compensation for roles that may be hired in Colorado. Actual compensation is influenced by a wide array of factors including but not limited to skill set, level of experience, and specific office location. For the state of Colorado only, the range of starting pay for this role is $119,880 - $268,900 and information on benefits offered is here.
