Job Description:

Position OverviewThe Senior Paralegal will be responsible for supporting 3 lawyers in the following areas: Corporate Governance, Mergers and Acquisitions, Financing, and Bankruptcy. In addition, the role provides legal assistance to corporate attorneys. Acts as liaison between company attorneys, outside counsel, organizations and in-house employees. Compiles data from legal resource websites and other information sources. Prepares and files legal documents with appropriate entities, as required. Responsibilities

  • Perform entity management and ensure good corporate governance for domestic and foreign entities and joint ventures and maintain related third party vendor relationships
  • Prepare annual meeting resolutions and other written consents
  • Assist with board and committee meeting preparation and calendar building, including drafting minutes, resolutions, agendas
  • Assist with and respond to Know Your Client (KYC) requests from internal and external parties
  • Assist with regular, periodic reporting requirements, including but not limited to, corporate entity changes, officer changes, mergers, acquisitions, divestitures and status of certain litigation
  • Co-lead internal, related person transaction summary and reporting initiatives
  • Create, manage and distribute company organization charts
  • Assist in conducting a variety of due diligence reviews and providing summaries of the same
  • Assist in the evaluation of the companys entities and prepare and file documents and forms related to forming, dissolving or liquidating entities
  • Collaborate with other departments to fulfill various reporting obligations and file annual reports
  • Communicate with outside counsel and Navistar team members to ensure accurate tracking of corporate filing deadlines
  • Assist in managing checklists related to larger corporate transactions, tracking deadlines, and generating a variety of reports
  • Partner with finance team on budget matters, including reviewing and processing payment invoices from outside counsel and resolving discrepancies
  • Maintain certain records and internal files, both hard and electronic copies
  • Assist in a variety of day to day activities, including affixing corporate seals, notarizing documents and accepting service of process
  • Collaborate and coordinate cross-functionally with global business partners and legal subject matter leadsMinimum Requirements
    • Associates degree
    • At least 1 year of paralegal experienceOR
      • At least 2 years of paralegal experienceAdditional Requirements
        • Qualified candidates, excluding current Navistar employees, must be legally authorized on an unrestricted basis (US Citizen, Legal Permanent Resident, Refugee or Asylee) to be employed in the United States.
