Find your way at Grainger.Position Details:The Contracts Paralegal will work closely with a team of Grainger attorneys, outside counsel, and internal stakeholders.Responsibilities include assisting the Legal team with contract review and contract management processes: including intake, assignment and triaging work based on priority, subject matter, and current workloads. Additionally, this position is responsible for brand protection and licensing work which includes managing and negotiating content, data, and other intellectual property and third-party licenses.This position is hybrid. Upon completion of training, you will work 2-3 days per week in the Lake Forest office, while enjoying 2-3 days per week working from home. You Will:Transactional Work

  • Generate agreements from standard approved templates.
  • Review and negotiate (with attorney oversight) standard agreements, such as mutual non-disclosure agreements, evaluation agreements, routine SOWs and Orders and other contract matters as appropriate.
  • Draft legal communications, presentations, and reports.
  • Assign incoming contract matters based on volume, priority, complexity, and subject matter.
  • Liaise with procurement/vendor management business partners to answer questions about processes, matter status, contracts, and other Legal team inquiries.
  • Lead and/or participate in training sessions for our business partners and the Legal team.
  • Assist with department projects and initiatives as needed.Data, Content, Music, and other Licensing
    • Analyze and maintain data, image, and music (CCC, ASCAP and BMI among others) licensing agreements.
    • Review and negotiate a wide range of license agreements including Trademark license agreements (TLA), Patent Licensing, Copyright Licensing, Data and content Licensing, Consent and sponsorship Agreements and Releases
    • Monitor, track and manage all aspects of the application and renewal processes for licenses.Policies, Processes and Procedures
      • Assist with the management of the transaction/licensing legal budget and invoicing procedures through Grainger's eBilling system.
      • Research and recommend cost savings opportunities.
      • Initiate, prioritize, participate in, complete and own delivery of ongoing team projects with a goal of an improved, faster, and simpler way of doing work (automation, tracking, new processes).
      • Additional responsibilities as opportunities become available.You Have:
        • Paralegal Certification from ABA accredited program
        • Proficient in MS Office, MS Word, Excel, eDiscovery techniques, and eBilling and matter management software
        • Superior organizational skills and ability to follow through with commitments
        • Knowledge of litigation concepts and practices
        • Excellent written and oral communication skills
        • Ability to streamline processes to improve the delivery of Legal services
        • Able to problem-solve; multitask; and be highly accountable
        • Strong project management and organizational skills
        • Uncompromising integrity and commitment to confidentiality
        • Excellent research and analytical skills, and attention to detail
        • Ability to work as a member of a team and collaborate with all Legal Department team members and other areas of the business
        • 7 years of relevant experience in a corporate law department or law firm
        • Must possess the ability to acquire an in-depth understanding of the Company's current and former business operations and organizational structure
        • Ability to develop strong cross functional relationships with key stakeholders and business partners.
